The 30-Day Free Trial is available to eligible dental practices and organizations evaluating the Service for legitimate business purposes.
2.The Company reserves the right to:
- Approve or reject a trial request.
- Limit the number of trial accounts associated with an organization.
- Decline or terminate a trial where misuse, abuse, fraud, or unauthorized activity is suspected.
- Modify or discontinue the trial offer at any time.
The trial is intended for evaluation of the Service and may not be resold, transferred, or used for commercial service delivery to third parties.
3.Trial Period
The trial begins on the date the Customer's trial account is activated and continues for 30 consecutive calendar days, unless terminated earlier in accordance with these Trial Terms.
At the end of the 30-day period:
- The trial will expire automatically unless the Customer subscribes to a paid plan within 30 days.
- Access to the Service may be suspended or restricted.
- The Customer may be required to select a paid subscription to continue using the Service.
Unless expressly stated otherwise, the trial does not automatically convert into a paid subscription.
4.Trial Features
During the trial, the Customer may access the features and functionality made available by the Company for trial users. The Company may:
- Limit certain features.
- Change trial functionality.
- Apply reasonable usage limits.
- Introduce or remove features during the trial.
The Company does not guarantee that every feature available under a paid subscription will be available during the trial.
5.No Guarantee of Availability
The Service is provided during the trial on an "AS IS" and "AS AVAILABLE" basis, to the maximum extent permitted by applicable law. The Company does not guarantee that:
- The Service will be uninterrupted.
- The Service will be error-free.
- All features will operate without defects.
- The Service will meet every Customer requirement.
- The Service will remain unchanged during the trial.
Reasonable efforts will be made to maintain the availability and functionality of the Service.
6.Customer Responsibilities
The Customer is responsible for:
- Providing accurate registration information.
- Maintaining the confidentiality of account credentials.
- Restricting access to authorized personnel.
- Ensuring users comply with applicable laws and regulations.
- Maintaining appropriate internal security controls.
- Reviewing the Service before using it in a production environment.
- Ensuring that its use of the Service is appropriate for its organization's needs.
The Customer must not share account credentials or permit unauthorized persons to access the Service.
7.Healthcare and Patient Information
If the Service is used in connection with patient information, the Customer is responsible for determining whether such use is appropriate and legally permissible.
The Customer must not upload or process Protected Health Information ("PHI") through the trial unless the Company has expressly authorized such use and any required Business Associate Agreement (BAA) has been executed.
The Customer remains responsible for complying with HIPAA and other applicable healthcare, privacy, security, and data-protection requirements applicable to its organization.
8.Business Associate Agreement
Where applicable, if the Customer intends to use the Service to create, receive, maintain, or transmit PHI on behalf of a Covered Entity or Business Associate, the parties must enter into an appropriate Business Associate Agreement before such processing begins. Nothing in these Trial Terms by itself constitutes a Business Associate Agreement.
9.Customer Data
The Customer retains ownership of information and data submitted to the Service by the Customer ("Customer Data"), subject to the rights necessary for the Company to provide and operate the Service. The Company may process Customer Data as reasonably necessary to:
- Provide the Service.
- Maintain and secure the platform.
- Provide technical support.
- Prevent fraud and abuse.
- Maintain system performance.
- Comply with applicable law.
The Company will handle Customer Data in accordance with its applicable Privacy Policy and any applicable data-processing or business-associate agreements.
10.Trial Data and Deletion
At the end of the trial, the Customer should export any Customer Data it wishes to retain. Unless otherwise agreed in writing, the Company may delete trial-account data after the trial ends and/or after a reasonable retention period. The Company is not responsible for preserving trial data indefinitely after expiration or termination of the trial. Customers should not rely on the trial environment as their sole repository for business-critical information.
11.Security
The Company will maintain reasonable administrative, technical, and organizational safeguards appropriate to the Service. The Customer is responsible for:
- Protecting account credentials.
- Using appropriate passwords.
- Managing user permissions.
- Restricting access to authorized personnel.
- Promptly reporting suspected unauthorized access.
Customers should not share passwords between users.
12.Acceptable Use
The Customer must not use the Service to:
- Violate applicable laws or regulations.
- Gain unauthorized access to systems or data.
- Attempt to bypass security controls.
- Introduce malware or malicious code.
- Interfere with the operation of the Service.
- Reverse engineer or attempt to obtain the source code, except where prohibited by applicable law.
- Scrape or systematically extract data from the Service without authorization.
- Use the Service to provide unauthorized services to third parties.
- Upload data that the Customer does not have the legal right to process.
13.Intellectual Property
The Service, including its software, design, interfaces, documentation, trademarks, and related intellectual property, remains the property of the Company or its licensors. The trial grants the Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Service solely for evaluation purposes during the trial period. No ownership rights are transferred to the Customer.
14.Feedback
If the Customer provides suggestions, comments, recommendations, or feedback regarding the Service, the Company may use that feedback to improve its products and services without owing compensation to the Customer, provided that such use does not disclose the Customer's confidential information.
15.Support During the Trial
Trial users may receive technical support through the support channels specified by the Company. Trial support may differ from the support included with paid subscription plans. The Company does not guarantee a specific response or resolution time unless expressly stated in a separate agreement.
16.Termination
Either party may terminate the trial at any time. The Company may immediately suspend or terminate the trial if:
- The Customer violates these Trial Terms.
- The Customer engages in fraudulent, abusive, or unlawful activity.
- The Customer creates a security risk.
- Continued access could negatively affect the Service or other customers.
- Required by applicable law.
Upon termination, the Customer's right to access the trial will end.
17.No Automatic Billing
The 30-Day Free Trial does not automatically create a paid subscription unless the Customer expressly agrees to a paid plan. If the Customer chooses to subscribe to a paid plan, the applicable pricing, subscription agreement, and payment terms will apply.
18.No Professional or Clinical Advice
The Service is a software and administrative technology platform. It does not provide medical, dental, diagnostic, treatment, or professional clinical advice. The Customer and its healthcare professionals remain solely responsible for clinical decisions, patient care, treatment, diagnosis, and compliance with applicable professional requirements.
19.Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Service provided during the trial is provided without warranties of any kind, whether express, implied, statutory, or otherwise, except where such warranties cannot legally be excluded. The Company disclaims implied warranties including merchantability, fitness for a particular purpose, and non-infringement to the extent permitted by law.
20.Limitation of Liability
To the maximum extent permitted by applicable law, the Company will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the trial or use of the Service. The Company's total liability arising from the trial will be limited to the maximum extent permitted by applicable law. Nothing in these Trial Terms excludes or limits liability that cannot legally be excluded or limited.
21.Confidentiality
Each party may receive confidential information from the other party. Each party agrees to use reasonable measures to protect confidential information and use it only for purposes related to evaluating or providing the Service. This section does not apply to information that:
- Is publicly available without breach of these terms.
- Was already lawfully known.
- Is independently developed.
- Is lawfully received from a third party without confidentiality obligations.
- Must be disclosed by law.
22.Changes to the Trial Terms
The Company may update these Trial Terms from time to time. If material changes are made, the Company may provide reasonable notice where required. Continued use of the Service after the effective date of updated terms constitutes acceptance of the updated terms, to the extent permitted by law.
23.Governing Law
These Trial Terms will be governed by the laws of United States, without regard to its conflict-of-law principles, unless otherwise required by applicable law. Any dispute-resolution provisions applicable to paid subscriptions or a separate agreement will control where applicable.
24.Entire Agreement
These Trial Terms, together with the Company's Privacy Policy and any applicable agreements referenced herein, constitute the agreement governing the 30-Day Free Trial. If the Customer enters into a separate written agreement with the Company, that agreement will control to the extent of any conflict.
